Terms of Service

These Terms of Service ("Terms") govern your access to and use of Shepherd Sites, a church website platform operated by Healey Enterprises US LLC ("Shepherd Sites," "we," "us," or "our"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.
1. Who can use Shepherd Sites
You must be at least 18 years old and able to form a binding contract to use the service. If you use Shepherd Sites on behalf of a church, ministry, or organization, you represent that you are authorized to bind that entity to these Terms, and "you" refers to that entity.
2. Accounts and security
You are responsible for the information you provide when registering and for keeping your login credentials secure. You are responsible for all activity that occurs under your account. Notify us promptly at support@shepherdsites.com if you suspect unauthorized use.
3. Subscriptions, billing, and refunds
Shepherd Sites offers free and paid subscription plans. Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing to a paid plan, you authorize us to charge the applicable fees to your payment method on each billing cycle until you cancel.
You can cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access to paid features until then. Except where required by law, fees already paid are non-refundable and we do not provide prorated refunds for partial billing periods.
We may change our prices or plan features. If we change the price of a plan you are subscribed to, we will give you reasonable advance notice, and the change will apply to your next billing cycle.
4. Your content
You retain ownership of the content you upload or create on Shepherd Sites, including text, images, sermons, event information, and donor records ("Your Content"). You grant us a limited license to host, store, display, and process Your Content solely to operate and provide the service to you.
You are solely responsible for Your Content and for ensuring you have the rights to use it. You are responsible for obtaining any consents required to collect and manage the personal information of your congregants, donors, and site visitors.
5. Acceptable use
You agree not to use Shepherd Sites to:
- Violate any law or infringe the rights of others;
- Upload malicious code or attempt to disrupt or gain unauthorized access to the service;
- Post unlawful, fraudulent, hateful, harassing, or sexually explicit content;
- Send spam or unsolicited bulk communications;
- Resell or misrepresent the service, or use it to build a competing product.
We may suspend or terminate accounts that violate these Terms or that create risk or legal exposure for us.
6. Payments and donations
Shepherd Sites provides tools that let you record and manage giving and, where enabled, accept online donations through third-party payment processors. We are a software provider, not a payment processor, financial advisor, or tax advisor. You are responsible for the accuracy of giving records, donor communications, tax receipts, and compliance with all laws applicable to charitable contributions.
7. Third-party services
The service relies on third-party providers, including Stripe for payments, Neon for database hosting, Resend for email delivery, and Vercel for hosting. Your use of the service may be subject to those providers' terms, and we are not responsible for their acts or omissions.
8. Service availability
We work to keep Shepherd Sites available and reliable, but we provide the service on an "as is" and "as available" basis. We do not guarantee that the service will be uninterrupted, error-free, or secure. We may modify, suspend, or discontinue features at any time.
9. Disclaimers
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will meet your requirements or that any content will be accurate or reliable.
10. Limitation of liability
To the fullest extent permitted by law, Healey Enterprises US LLC and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or related to your use of the service. Our total liability for any claim arising out of or relating to these Terms or the service will not exceed the greater of the amount you paid us in the twelve (12) months before the claim or one hundred U.S. dollars ($100).
11. Indemnification
You agree to indemnify and hold harmless Healey Enterprises US LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of Your Content, your use of the service, or your violation of these Terms or the rights of any third party.
12. Termination
You may stop using the service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the service. Upon termination, your right to use the service ends. We may delete Your Content after a reasonable retention period, so you should keep your own backups of important data.
13. Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the service will be resolved in the state or federal courts located in Texas, and you consent to their jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
